On Monday 29 April, the European Commission announced that it had informed the Spanish airline International Consolidated Airlines Group, S.A. (IAG) of its preliminary opinion, in the context of its in-depth investigation into the proposed acquisition by IAG of sole control of the Spanish company Air Europa Holding, S.L. (Air Europa), which was opened on 24 January (see EUROPE 13336/19) to understand the potential impact of the proposed transaction.
The two companies operate a network of domestic routes in Spain, short-haul routes within the European Economic Area and to neighbouring countries, and long-haul routes.
The Commission is concerned that the proposed merger, in the absence of appropriate remedies, could restrict competition in the market for passenger air transport services and, more specifically, for routes within, to and from Spain.
The Commission points out that every year, millions of passengers use these routes for a total annual expenditure of over €3 billion. The Commission believes that this alleged restriction of competition could lead to higher prices for consumers and businesses, as well as a reduction in the quality of services.
The statement of objections does not prejudge the outcome of the Commission’s investigation and IAG has the opportunity to reply to the Commission, to consult the investigation file and to request a hearing.
The company may propose corrective measures, which it may submit at any time during the procedure until the deadline of 10 June 2024.
