01/04/2019 (Agence Europe) – MEPs from the European Parliament's Committee on Legal Affairs (JURI) on Monday 1 April approved, by 13 votes to 2, the provisional Interinstitutional Agreement (see EUROPE 12213/24) on the proposal for a directive on harmonised procedures for cross-border divisions and transfers and targeted review for mergers (see EUROPE 12009/8). In particular, the new rules establish procedures to verify the legality of cross-border transactions and to introduce a mandatory anti-abuse control procedure. They also guarantee the protection of workers' rights to information, consultation and participation in the event of cross-border transactions. Member States endorsed the text last week (see EUROPE 12223/34). The legislative package on ‘company law’ is expected to be adopted in its entirety at the second plenary session in April. (MF)
