11/03/2009 (Agence Europe) - In a resolution adopted on Tuesday 10 March, the European Parliament recommended that the Commission present before the end of the month, a proposal from the 14th directive on corporate law, establishing national legislation coordination measures to facilitate the cross-border of a company's HQ. This legislative initiative should include the presentation of a report on the reasons for the transfer, as well as guarantees on shareholder rights, debts, workers and ought to fiscally neutral. Currently, companies can only transfer their HQ by announcing, for example, their dissolution and the creation of a new legal personal in the host member state, which is pricy, bureaucratic and has social ramifications.
