Member states must not require companies wishing to move headquarters to another member state to enter liquidation

In a ruling issued on Wednesday 25 October in Case C-106/161, European Court of Justice (CJEU) judges said the freedom of establishment is incompatible with a national regulation forcing a company into liquidation if it wants to transfer its headquarters to another member state.

A company under Polish law voted in 2011 to transfer its headquarters to Luxembourg, but did not vote on the place where business would be managed and carried out.  Following the vote, a liquidation process began at...
