SEAT PG - SEAT PAGINE GIALLE (TELECOM ITALIA group; turnover of EUR 1.3 billion in 2000) confirmed the acquisition of the Swedish telephone directory and yellow pages publisher ENIRO AB (turnover of EUR 356 million in 2000 with 3,200 people) for EUR 3 billion, mainly in shares. SEAT PG is offering 12.25 SEAT shares for every ENIRO share, the ENIRO shareholders having the possibility to obtain some SEK 164 per share for a maximum of 1000 ENIRO shares. The ENIRO shareholders will hold 15.4% of SEAT once this friendly take over is completed. The ENIRO board recommended the offer to its shareholders, offer, which, if it is successful, will make the Italian group the sector's largest publisher in Europe. See yesterday's EI.
