Brussels, 11/04/2001 (Agence Europe) - The European Commission authorised the Spanish company Teka Industrial SA to take joint control, with Finatlantis (French group SUEZ) of Holdivat SA, a Belgian holding company that owns two manufacturers of stainless steel beverage containers, Comet NV (Belgium), on the one hand, and FSB Fassindustrie gesellschaft M.b.H (Austria), on the other. The Teka group has as main activity the manufacturing and sale of sinks, taps and kitchen equipment. It manufacturer stainless steel beverage containers through the intermediary of subsidiaries, namely Portinox SA (Spain), Thielmann AG KG (Germany) and Yingkou Th. LIAOHE TTD (China). The operation foresees the acquisition by Teka of the majority of stakes in the Holdivat holding through an agreement with Finatlantis and VIV (Vlaamse Investeringsvennootschap), which until then controlled the company. Once the operation complete, Holdivat will be controlled by Teka and Finatlantis, taking into account the rights and powers defined by the shareholders agreements. Though the transaction further increase the degree of concentration in the sector for stainless steel beverage containers, the Commission excluded the possibility of collective dominance by the entity created from the operation as well as the two main competitors (Franks and Schafer), feeling that all the factors needed are not presents.
