Commission may examine merger between Sogecable and Via Capital

Brussels, 13/05/2002 (Agence Europe) - Amelia Torres, spokesperson for Commissioner Mario Monti, said on Monday that the Commission still did not have a point of view on the merger" between the Spanish pay televisions competitors of Sogecable and Via Digital, which last week announced their plan of a rapprochement. (which would create a platform of over 2.5 million subscribers with an annual revenue of some 1.3 billion euro). The spokesperson recalled that the conditions for which a merger operation demanded the European green light: the total turnover involved must exceed 5 billion euro and that made individually by at least two of them had to exceed 250 million euro in the EU. If these two conditions are met but that each company concerned makes over two-thirds of its turnover in one of the Member states, it is up to the authorities of the state concerned to examine the operation. Amelia Torres said that, at first sight, the activities of Sogecable and Via digital covered two-thirds of the Spanish territory, and that the merger should therefore have to be examined by the relevant Spanish authorities, but that "all depends of the shareholding and the turnover of the parent company" (France's Canal+ and Spain's Prisa for Sogecable and Spin's Telefonica for Via Digital: Ed.).
