New Commission proposal over takeovers

Brussels, 11/07/2001 (Agence Europe) - The European Commissioner for the Internal Market, Frits Bolkestein, announced Tuesday, at the EcoFin Council lunch, that he would be presenting a new draft directive on regulating takeover bids. The Commissioner left a doubt hang following the vote in the European Parliament - which rejected the text of the directive to emerge from the conciliation procedure - while explaining that, whatever happened, the new drat would necessarily have to be different to take account of Parliament's position (see EUROPE of 5 July, p.7). The Commission will however have to navigate between the positions of the Germans who want to see an end to "protectionist" measures such as the golden share, and the Spanish and the new Italian Government, wanting, on the contrary, to be able to protect their companies against public monopoly offensives from other States, a Commission source points out. According to the same source, the new draft should not cover the golden share, especially following the conclusions of the Advocate General of the Court of Justice, defending its use (see EUROPE of 4 July, p.11).
