Brussels, 13/11/2003 (Agence Europe) - Next Tuesday the European Commission is to present its new proposal of directive on cross-border mergers. It will replace the draft 10th directive on corporate law blocked in Council since 1985 due to the differences expressed on the subject of worker consultation. The new proposal, which attempts to unravel this knot, will refer to the directive on worker consultation adopted for the European Company and the European cooperative society. The proposal of directive specifies the rules that apply to mergers between companies formed under national law of various Member States, mainly concerning the transfer of the company seat or maintenance of capital. One week ago, the Commission presented a proposal concerning the tax rules applicable to mergers (see EUROPE of 21 October, p.12).
