14/05/2009 (Agence Europe) - On Thursday 14 May, the European Commission decided to send reasoned opinions to five member states (Belgium, Cyprus, Greece, Hungary and Italy) for failure to properly implement in national law a number of rules on company law and corporate governance. These rules, which should have been applied since December 2008, remove the requirement for an independent expert report to be drafted in the event of mergers or divisions of companies if shareholders unanimously...
